1. ELIGIBILITY: This promotion is open only to residents of the 50 United States (except Florida) and the District of Columbia who are 18 or older at time of entry who are Priority Club Rewards (“PCR”) Members and registered for the Our Biggest Free Nights Offer I (May 4 – July 3, 2009) or Our Biggest Free Nights Offer II (July 4 – August 15, 2009) or Double I (May 4 – July 3, 2009) or Double II (July 4 – August 15, 2009.) HERE'S HOW TO ENTER: Beginning 12:01am (ET) on 7/15/09 , visit http://community.priorityclub.com/blogs/pccblog/2009/07/15/30-free-days-in-30-ni ghts and follow the on-screen instructions to complete the entry form, answer the survey question and submit an entry for that day’s random drawing; you will also be automatically entered into all subsequent daily drawings and the Grand Prize drawing. Entries must be received by 11:59:59pm (ET) to be eligible for that day’s prize drawing. Entries must be received by 11:59:59 pm (ET) on 8/13/09 to be eligible for the last daily drawing and for the Grand Prize Drawing. Non-winning daily entries will be rolled over into subsequent daily drawings. Limit one entry per email address for the duration of the promotion period. If more than one entry is received per person throughout the duration of the promotion period, only the first such entry received will be eligible.

3. RANDOM DRAWINGS: Daily random drawings will be conducted approximately 1 day after each day of the promotion period from among all eligible entries received prior to that day’s drawing. The Grand Prize Drawing will be conducted on or about 8/17/09 from among all eligible entries received by 11:59:59pm (ET) on 8/13/09. Random drawings will be conducted by D.L. Blair, Inc., an independent judging organization, whose decisions are final on all matters relating to this offer. Odds of winning a Daily Prize depend upon the number of eligible entries received prior to that day. Odds of winning the Grand Prize will depend upon the number of eligible entries received throughout the promotion period. Winners will be notified by mail/email.

4. PRIZES AND APPROXIMATE RETAIL VALUES: TRANSPORTATION IS NOT INCLUDED IN ANY PRIZE. (1) Grand Prize for any winner except one who participated via Double I or Double II – Seven free nights at one or more participating IHG hotel(s) worldwide (except Japan) (ARV: $700; Actual value will depend upon selected hotel(s); (30) Daily Prizes (1 per day) for all winners except those who participated via Double I or Double II – One free room night at a participating IHG hotel worldwide (except Japan) (ARV: $100 each; Actual value will depend upon selected hotel.) Each free night is valid only for one standard room for one night and applicable taxes at participating hotel. Prize does not include food, beverages, gratuities or incidentals which charges must be paid directly to the hotel prior to check-out. Grand Prize free nights may be utilized in one block of time at one or more IHG hotel worldwide properties or divided into multiple stays at multiple IHG hotel worldwide properties. Each free night may be redeemed only at www.priorityclub.com/bookfreenights for a reservation at any participating IHG hotel. All free nights must be used before 12/26/09. Free Night(s) are considered be redeemed at time of booking. Free Nights cannot be modified or rebooked if cancelled. Reservations must be made in advance of desired date. Winners must use their PCR member number at time of booking. Winners must maintain current, valid email address in Member Profile to receive promotion communications. Winners may determine if free night(s) are available at their selected hotel(s) by visiting www.priorityclub.com/bookfreenights and searching by city or date. Rooms are limited, subject to prior sale and may be unavailable during high demand periods. Each participating hotel has limited room inventory available for free nights. Free night rooms are subject to the maximum occupancy requirements of the hotel and local regulations. Winners will not be eligible for Priority Club points for the Free Night(s). Free night reservations require a credit card to guarantee the reservation. Free night(s) cannot be sold or transferred.

Prizes for winners who participated via Double I or Double II registration will be awarded via Priority Club Points - 40,000 points for daily prize and/or 280,000 points for the Grand Prize. Reservations must be made in advance of desired date as a Priority Club Reward Night. Winners must use their PCR member number at time of booking. Rooms are limited, subject to prior sale and may be unavailable during high demand periods. Each participating hotel has limited room inventory available for reward nights. Winners will not be eligible for Priority Club points for the reward nights stayed. Priority Club Points awarded may not be transferred or sold.

Prizes consist of only the item specifically listed as prize. Limit one Daily prize per person or household.

5. GENERAL RULES: Potential Grand Prize winner (or parent/legal guardian if potential winner is deemed a minor in his/her state of residence) will be required to complete and return an Affidavit of Eligibility, Release of Liability, Prize Acceptance Form and, if legally permissible, a Publicity Release within 7 days of attempted delivery of same. Noncompliance within this time period or return of any prize/prize notification as undeliverable will result in disqualification without further notice and an alternate winner will be selected. Potential Daily winners (or parent/legal guardian if potential winner is deemed a minor in his/her state of residence) will be required to complete and return a Release of Liability, Prize Acceptance Form and, if legally permissible, a Publicity Release within 7 days of attempted delivery of same. By accepting prize, winners (or parent/legal guardian if winner is a minor) agree to hold Sponsor, its respective directors, officers, employees and assigns, harmless against any and all claims and liability arising out of use of prize. Winners (or parent/legal guardian if winner is a minor) assume all liability for any injury or damage caused, or claimed to be caused, by participation in this promotion or use or redemption of any prize. Acceptance of prize constitutes permission for the Sponsor and its agencies to use winners’ names and/or likenesses for purposes of advertising and trade without further compensation, including a winners’ list, unless prohibited by law. Entrants (or parent/legal guardian if entrant is a minor) agree to release, discharge and hold harmless Sponsor, its respective directors, officers, employees and assigns, harmless from and against any and all liability and damages. By participating in this promotion, entrants (or parent/legal guardian if entrant is a minor) agree to be bound by the Official Rules and the judges’ decisions, which are final. How it Works

Members can collect their choice of Priority Club points, miles* or other partner credits with several domestic and international partners. Points can be redeemed for free hotel stays, airline miles, brand name merchandise, retail and dining certificates, DVDs and more.

Priority Club Rewards membership is free. Guests enroll online at www.priorityclub.com, by calling 1-888-211-9874, or at the front desk of any of our hotels.

Earning Points

At Crowne Plaza, Hotel Indigo, Holiday Inn, and Holiday Inn Express hotels, Priority Club members can collect 10 points per US$1 dollar spent on eligible charges billed to the room folio.

At Staybridge Suites and Candlewood Suites extended stay properties, members collect five points per US$1 dollar spent for eligible charges billed to the room folio.

Eligible charges include qualifying room rates, food and beverage, telephone, laundry, and in-room movies charged to the member’s room. Other eligible charges are at the individual hotel’s discretion.

At InterContinental Hotels and Resorts properties, members collect 2,000 points for every qualifying stay.

Guests who enroll in Priority Club Rewards during a stay at any IHG hotel will be awarded a flat 1,000 points for that enrolling stay.

Collecting Miles or Partner Credits

Priority Club Rewards members, who are also members of an airline frequent-flyer program or other partner program may choose to earn miles/partner credits instead of points for every qualifying stay.

At Crowne Plaza, Hotel Indigo, Holiday Inn, and Holiday Inn Express hotels, Priority Club members can collect 2 miles per US$1 dollar spent with most U.S. based airlines for eligible charges billed to the room folio.

At Staybridge Suites and Candlewood Suites extended stay properties, members collect one mile per US$1 dollar spent with most Americas-based airlines for eligible charges billed to the room folio.

At InterContinental Hotels and Resorts properties, members collect 500 miles for every qualifying stay.

Mileage earning rates vary at airlines or partners in countries outside of the United States. Refer to the Earn Points/Miles page on www.priorityclub.com for the earning structure at all participating airlines.

Other Point Collection Opportunities

Changing Collection Preference

Priority Club members can collect points or miles on qualifying stays but not both simultaneously. Members can change their collection preference at any time from points to miles, miles to points or change from one preferred airline alliance program to another for future stays at www.priorityclub.com or by calling 1-888-211-9874. Priority Club points may be converted to miles but miles cannot be converted to points. Once miles or partner credits have been posted to a members airline account, they cannot be changed.

#What is the purpose of this community?

#Do I have to be registered to participate?

Non-registered visitors to the site are only able to view content. Registered members can contribute content including creating profiles, uploading photos, and creating and replying to discussions and questions.

#How do I log in?

To login to the community, click on the “login” link in the header and enter your username and password. To have the system automatically log you in, click the checkbox next to “Remember Me.” In order to be automatically logged in each time, you must have cookies enabled.

#What are cookies?

The term "cookie" is the name given to a small, encrypted file of information (normally less than 1k) that Priority Club Connect places onto your hard disk drive. This cookie enables us to remember who you are and automatically log you into the community each time you visit.

#What do I do if I forgot my password?

To reset your password, click on the question mark link [?] after “Password” in the header. This link will take you to a page where you can enter your username. You will receive an e-mail with instructions on how to reset your password.

#What do I do if I forgot my username?

Usernames cannot be retrieved directly from the system. If you have forgotten your username, please contact the Priority Club Rewards Service Center.

#How do I create a discussion?

Go to the forum you would like to create a discussion in and select “Start a discussion” from the Actions menu on the right. Type the discussion header in the subject line and type your message in the textbox. You can mark your discussion as a question by clicking the “Mark this thread as a question” box. Include tags (keywords associate to content) in the Tags field. Click “Post Message” to post your discussion. You will automatically receive an email when someone replies to your discussion (to change this feature, click on “Preferences” from the Your Stuff dropdown in the header).

#How do I post a reply to a discussion?

Select “Reply” next to the message you would like to reply to or select “Reply to original post” from the bottom of the discussion. Write your response in the textbox and select “Post Message” to post your reply. If you would like to include the text from a specific message that was posted by another member, click on the quote icon in the textbox header. This will add the text from the original post in your message and it can be modified if necessary.

#How do I mark a discussion as a question?

When creating a discussion, you can mark it as a question by clicking the “Mark this thread as a question” box. If you create a question, be sure to go back and mark your question as answered once you get responses.

#How do I mark a question as answered?

You can mark a question as answered at any time. Click the link appearing at the top of your question saying “Mark question as answered”. Provide a comment if applicable, and click the “Mark Answered” button to update your post.

#How do I edit my post or reply after I have submitted it?

If you have submitted your post and realize you want to edit it, click “Edit” next to your message. You can update the text in your message and select “Post Message” to submit your updated post or reply.

#How do I check the spelling in my message?

After entering your text in the message box, click the ABC icon in the upper right corner of the text editor. Misspelled words will be underlined with red dashes. Click on misspelled words for suggestions on proper spellings.

#How do I view my profile and update my information?

To view your profile, click on your username or avatar from anywhere in the community, or click on “Profile” from the Your Stuff dropdown in the header. From your profile page, you can select “Edit profile” from the Actions menu on the right. Edit the fields, as indicated, and click “save” to update your profile.

#How do I view other profiles?

To view another member’s profile, click on their username wherever it is a link. You can also click on “People” from the Browse dropdown in the header. You can also search for profiles by typing a username in the search box found in the header, or view users based on tags associated with their profile (see tags FAQ).

#How do I upload photographs?

To upload a profile photo or avatar to your profile, click on “Edit Profile” or “Change avatar” from the Actions menu on the right of your profile page.

To upload photos to an album, navigate to your personal photos page by selecting the “Photos” tab from your profile. Photo albums you create will be located here. To create an album and add new photos, click “Create a Photo Album” from the Actions menu on the right.

#How do I search in the community?

Type in your search term into the search box in the header and click the search icon. You can also use tags to search (see tags FAQ).

#What are tags? When do I use them?

Tags are simply keywords that you, as a user, can associate to a piece of content that you create. Within the community, you can tag a discussion, a question or a photo. For example, if you post a photo taken in New York City, you can tag it as “NYC,” “New_York,” or even “The_Statue_of_Liberty” if appropriate. (Note: If your tag has more than one word, you should place an underscore between the words: “baseball_tickets” instead of “baseball tickets”).

How you choose to tag your content is completely at your discretion (as long as it adheres to the Member Guidelines). However, tagging is most effective when the content is tagged appropriately and correctly. You can tag a piece of content with as many different tags as necessary. When users search for content, they can find your content based on how you tagged your items.

To search commonly used tags, select “Tags” from the Browse dropdown in the header. Click on one of the tags in the "tag cloud" to view content associated to that tag.

#What is “Report Abuse” and when would I use this?

The “Report Abuse” link allows users to report content that is explicitly offensive and violates the Member Guidelines or Terms of Use. If you choose to report abuse, you will be asked about the nature of the content in question, and you may also provide additional information. Please note that if you repeatedly report abuse on content that is not offensive or does not violate the Member Guidelines or Terms of Use, your user account can be suspended and/or terminated.

#How do I become the “Featured Member”?

The “Featured Member” shown on the homepage highlights a member of our community. The member is chosen by the Priority Club Connect staff, and if you are chosen as the “Featured Member,” you may be asked to answer a few questions about yourself. We respect your privacy, and will only post information about you with your consent.

#What are email notifications and how do I subscribe / unsubscribe?

To subscribe to email notifications for a discussion or blog, select “Receive email notifications” from the Actions menu of any discussion or blog. To unsubscribe, click “Stop email notifications”. To view your current list of email notifications or delete multiple email notifications, click “Profile” from the Your Stuff dropdown in the header. Click on the “Email Notifications” tab to access all your email notifications.

You are automatically subscribed to email notifications for any content you create or comment on. If you would not like to be subscribed automatically, click “Preferences” from the Your Stuff dropdown in the header. You can edit your subscriptions here.

#What is a reputation and how do I get to higher levels in the community?

You can accrue status by earning points as you create and respond to content in the community. Your reputation for reliability and authority in your favorite discussion area is based on the frequency and quality of your posts. When your name is displayed, the community shows a status icon that indicates how many points you have accrued. The following is a list of reputation names and the points you need to achieve that reputation.

Thank you for taking a moment to review the Member Guidelines. The guidelines are here to: 1) help you become a valuable contributor to the community, 2) explain what kind of conduct is encouraged, and 3) make sure the community is enjoyable for - and respectful of - all our users. Please interact with other members accordingly and conduct yourself as you would in any face-to-face setting. We expect everyone to abide by our Terms and Conditions and follow these guidelines.

The goal of Priority Club Connect is to empower members to become more educated about Priority Club Rewards, and provide a safe place for members to connect and share experiences with like-minded travelers. We hope you enjoy visiting the community, return often, and become an active member and frequent contributor.

Keep it clean, keep it friendly. Every post should make a positive contribution to the community and should be suitable for all users. The community is open to all points of view on the intended topics; mature, polite debate is encouraged. Please do not submit any post, photo, or avatar that is libelous, defamatory or offensive, including, but not limited to, language, violence, and nudity. Always interact with other users respectfully, as you would in any face-to-face setting.
Stay on topic. Good contributions help the entire community by providing relevant, insightful information or asking important questions. If your post contains anything unrelated to the topic of the forum or article, it may be removed.
Use the right channels for complaints. This community is not an appropriate forum to resolve hotel issues, or billing or point disputes. All complaints submitted here will be referred to Customer Care so they can work directly with you to resolve the issue.
Be honest, be yourself. The community is intended to be used for the helpful exchange of information between members. False, inaccurate, or otherwise misleading information is generally not helpful. Please be sincere in your community participation by only contributing content you know is accurate and not misrepresenting your identity, Priority Club status, or travel experiences.
Keep marketing efforts separate; minimize clutter. A post or reply with a personal agenda only benefits the person who writes it, not the community as a whole, and unsolicited advertising adds distracting clutter to the forums. Please respect the community's purpose by not using it as a marketing channel or submitting any content you've been paid or otherwise rewarded by a third party to write. Any marketing or sales related content will be removed and your membership in the community may be revoked.
Submit only your own, original content. Help us maintain the community's integrity and observe the intellectual property rights of others by only submitting content you have personally written or else used with permission and properly attributed. The community should not be used to distribute unauthorized copies of any copyrighted material.
Respect the privacy of others. It's up to you, and only you, to decide whether or not to share personal information about yourself. Any post or reply that includes another user's postal or email addresses, phone numbers, or other contact information will be removed immediately.
Remember your readers. Writing in ALL CAPS or using HTML tags can make your contribution difficult to read. Excessive typographic symbols, special characters, and instant/text messaging slang can be equally hard to read and may also be confusing to users who are unfamiliar with their meanings. Try to follow standard email etiquette.
Help look after your community. The community is here for the benefit and enjoyment of members like you. If you notice content within the community that does not abide by these guidelines or the Terms and Conditions, please report it to our Community Moderators by clicking on the Report Abuse links.

While we assume no obligation to review all posted content on Priority Club Connect, Community Moderators will be monitoring the community for content that does not adhere to the above-mentioned guidelines or the Terms and Conditions. Such content, when identified, will be immediately deleted in its entirety, and the contributing member will be notified via the email address in their profile. Members with multiple offenses risk losing their right to access the community. We reserve the right to remove any content we deem inappropriate for use in the community, and/or to revoke any member’s access to the community at any time and for any reason.

We may modify these guidelines or our Terms and Conditions at any time, and your continued use of the community signifies your assent to such modified terms.

Six Continents Hotels, Inc. a company in the InterContinental Hotels Group (“IHG”, “We”, “Us”, “Our”) sponsors the Priority Club Connect Online Community (“Community”), available to all Priority Club Rewards (“PCR”) members 18 and older.

Thank you for taking the time to review this Terms and Conditions of Use Agreement ("Agreement"). This Agreement is a legal contract between you and IHG. By registering for or using the Community or any of its related services, you agree that you have read and understand these terms and you agree to be bound by them. If you do not agree to these terms, do not use or otherwise access the Community.

Notification of Changes

We reserve the right, in our sole discretion, to modify this Agreement at any time. Modified terms are effective as soon as they are posted. We also reserve the right to waive or modify any of these terms as they apply to a specific posting or member without affecting the application of these terms to all other postings and members. Your continued use of the Community, or any materials or services accessible through it, after modified terms are posted means you accept the modifications.

Privacy

To the extent that you also provide us with any of your personally identifiable information, IHG will only use such information in accordance with the Privacy Policy of IHG, a copy of which is available Here. To the extent there is a conflict between IHG’s Privacy Policy and this Agreement, this Agreement's terms will govern.

Please note that by accepting this agreement, any of the personally identifiable information you submit may be directed to a third party site administered and hosted by a third party vendor retained by IHG provided, that in such event, the third-party vendor will have no right to use any such information other than uses necessary to fulfill its services to IHG.

Registration

To register as a Community user, you will need to create a screen name to identify yourself to others. You must be legally competent to enter into contracts and be at least 18 years of age. You may not have a screen name that is vulgar, attempts to impersonate another person or violates the rights of others, including the intellectual property rights of any person or entity. We also may reject any screen name that we determine in our discretion is unacceptable for use on the Community.

The information you provide during registration must be accurate and complete, and you agree not to register under the name of another person or otherwise impersonate any other person, including any Community user, moderator, public figure, or IHG employee. If, after investigation, IHG has reasonable grounds to suspect that your information is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and prohibit future use of the Community.

We explicitly disclaim liability for any and all losses and damages arising from the failure of you, or any other user, to comply with this section.

Personal Responsibility

You are solely responsible for your use of the Community. You are responsible for all activities under your screen name, including the use of your screen name by others. You are responsible for keeping your password confidential. You may use the Community for lawful purposes only.

We take no responsibility and have no liability for any content you or any other user may post. User-posted content does not represent the advice, views, opinions, or beliefs of IHG or the PCR program, and we make no claim of accuracy of any user-posted material.

The Community may contain or reference links to non-IHG websites ("third party websites"). By accessing the Community or following links to third-party websites, you may be exposed to content that you consider offensive or inappropriate. IHG is not responsible for the content of any third-party website or any link contained in a third-party website. The inclusion of a link within the Community does not imply any endorsement by or any affiliation with IHG. Access to any third-party website is at your own risk, and you should be aware that third-party websites may contain terms and privacy policies that are different from the Community. We are not responsible for such provisions and expressly disclaim any liability for them.

In connection with your use of the Community, you may be made aware of services, products, articles, offers, and promotions provided by third parties, and not by IHG. If you decide to use these third-party services, you are responsible for reviewing and understanding the terms and conditions governing those services. You agree that the third party, and not IHG, is responsible for performance of the services.

You are bound by our Member Guidelines; please review them carefully and periodically. The Community relies upon its users to identify and report content or conduct that is in contravention of the Member Guidelines. Therefore, it is each member's responsibility to report objectionable content by utilizing the "Report as inappropriate" functionality available throughout the Community.

Monitoring and Moderation

IHG has designated Community Moderators. Community Moderators do not pre-screen postings or monitor on a "real time" basis. Community Moderators have the right, but not the obligation, to edit or remove content and postings at their discretion, either because there has been a violation of this Agreement or the Member Guidelines, or for any other purpose. Community Moderators are the only authorized representatives of IHG in the Community.

The Community Moderators may or may not investigate any complaint that is brought to their attention, and may or may not take appropriate action, including, but not limited to issuing warnings, removing the content, or suspending or terminating the user name. Because situations and interpretations vary, it is possible that no action will be taken whatsoever. The failure to act with respect to a violation by you or others does not waive the ability to act differently with respect to subsequent or similar violations.

Warnings, Suspensions, and Terminations

Community Moderators may communicate with you personally concerning your participation in the Community or related matters. Those communications are not intended to be made public, and you agree not to post or otherwise disseminate those communications within the Community or elsewhere, on the Internet or otherwise.

You agree that your membership in and access to the Community may be immediately suspended or terminated without explanation or prior notice. Without limiting the foregoing, the following will lead to a termination of a user's membership in and access to the Community: 1) breaches or violations of this Agreement, Our Member Guidelines, or other incorporated agreements or guidelines, 2) requests by law enforcement or other government agencies, 3) a request by you (self-initiated account deletions), 4) unexpected technical issues or problems, and 5) extended periods of inactivity. Termination of your Community membership includes removal of access to all offerings within the Community and may also bar you from further use of the Community. Furthermore, you agree that neither IHG nor the Community Moderators shall be liable to you or any third-party for any termination of your membership in or access to the Community.

Rights to Content

For any content that you submit, including, but not limited to, data, text, messages, files, documents, images, photographs, videos, audiovisual works, musical compositions, sound recordings, postings, your and/or other persons' names, likenesses, voices, screen names, profiles, actions, appearances, performances and/or other biographical information or material, and any other materials, you grant IHG a perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium or technology throughout the world, on an unrestricted basis for any purpose, without the requirement of any permission from or compensation to you.

None of the content that you submit shall be subject to any obligation of confidence on the part of IHG, its agents, subsidiaries, affiliates, partners, or third party service providers and their respective directors, officers, and employees. All content that you submit may be used at IHG’s sole discretion. We shall not be liable for any use or disclosure of any content. Without limiting the foregoing, you hereby grant Us, without the requirement of any permission from or payment to you or to any other person or entity, a perpetual, irrevocable, transferable, fully-paid, royalty-free, non-exclusive, and sub-licensable worldwide license to use, re-use, reproduce, print, transmit, publish, exhibit, display, distribute, re-distribute, copy, host, cache, archive, store, index, categorize, stream, comment on, edit, alter, modify, adapt, translate, create derivative works based upon such content, in whole or in part all without further notice to you and with or without attribution.

Privacy and Security of Content

Any content that you place on the Community is posted at your own risk, and can be obtained and used by others. Do not reveal information that you do not want to make public. IHG disclaims any responsibility or liability arising from your disclosure of such personal information, or any other information, in any profile or posting.

IHG reserves the right to instruct the Community Moderators to remove any postings in the Community containing phone numbers, street addresses, or otherwise personally identifying information as it cannot verify such information or confirm the desire of said information to be posted by the individual to which this information pertains.

By submitting your email address to register, you agree that IHG, its third party service providers, and the Community Moderators may use your email address to contact you about your profile or any content you post on the Community, and for other administrative purposes related to the Community.

Indemnification

You hereby agree to indemnify, defend, and hold IHG, the Community Moderators, and all respective officers, directors, owners, employees, agents, representatives and assigns (collectively, the "Indemnified Parties") harmless from and against any and all losses, damages, liabilities and costs (including, without limitation, settlement costs and any legal or other fees and expenses for investigating or defending any actions or threatened actions) incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of this Agreement or the Rules of the Road or claims arising from your content or conduct. You shall use your best efforts to cooperate with us in the defense of any claim. We reserve the right, at our own expense, to employ separate counsel and assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

Disclaimer of Warranties

THE CONTENT ON THE COMMUNITY (INCLUDING, WITHOUT LIMITATION, POSTINGS, THIRD PARTY CONTENT, AND ANY IHG CONTENT) IS PROVIDED "AS IS" AND CARRIES NO WARRANTIES. IHG DOES NOT WARRANT OR GUARANTEE THE ACCURACY, RELIABILITY, COMPLETENESS, USEFULNESS, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, OR QUALITY OF ANY CONTENT ON THE COMMUNITY, REGARDLESS OF WHO ORIGINATES THAT CONTENT. IHG DOES NOT WARRANT THAT THE COMMUNITY IS SECURE, FREE FROM BUGS, VIRUSES, INTERRUPTION, ERRORS, OR OTHER LIMITATIONS. YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOU BEAR ALL RISKS ASSOCIATED WITH USING OR RELYING ON THAT CONTENT. IHG IS NOT LIABLE OR RESPONSIBLE IN ANY WAY FOR ANY CONTENT POSTED ON OR LINKED FROM THE COMMUNITY, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN CONTENT, OR FOR ANY LOSSES OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF OR RELIANCE ON ANY CONTENT.

Limitation of Liability

SUCH THIRD-PARTY CONTENT IS THE SOLE RESPONSIBILITY OF THE PERSON ORIGINATING THAT CONTENT. YOU AGREE THAT IHG DOES NOT CONTROL, AND IS NOT RESPONSIBLE IN ANY WAY FOR THIS THIRD-PARTY CONTENT. ADDITIONALLY, YOU AGREE THAT IHG IS NOT LIABLE FOR, AND YOU SHALL INDEMNIFY AND HOLD IHG, AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, MODERATORS, AND EMPLOYEES HARMLESS FROM ANY CLAIM, INCLUDING REASONABLE ATTORNEY'S FEES, MADE BY ANY THIRD PARTY RELATING TO OR ARISING OUT OF CONTENT YOU SUBMIT, POST, TRANSMIT, OR MAKE AVAILABLE THROUGH THE COMMUNITY, YOUR USE OF THE COMMUNITY, YOUR VIOLATION OF THIS AGREEMENT OR THE MEMBER GUIDELINES OR YOUR VIOLATION OF ANY RIGHTS OF ANOTHER.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IHG AND ITS REPRESENTATIVES ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES RELATING TO LOSS OF BUSINESS, TELECOMMUNICATION FAILURES, LOSS, CORRUPTION, SECURITY, OR THEFT OF DATA, LOSS OF PROFITS OR INVESTMENT, ACCOUNTING POSITIONS TAKEN BY YOU, OR THE LIKE), WHETHER BASED ON BREACH OF COTNRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, PRODUCT LIABILITY OR OTHERWISE, EVEN IF IHG OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN IHG AND YOU. THESE LIMITATIONS MAKE IT POSSIBLE FOR IHG TO PROVIDE THE COMMUNITY TO YOU.

Jurisdiction

These Terms and Conditions and any disputes arising under or related to these Terms and Conditions (whether for breach of contract, tortious conduct or otherwise) will be governed by the laws of the State of Georgia, without reference to its conflicts of law principles. You agree to submit to jurisdiction in Georgia and further agree that any cause of action arising under this Agreement may be brought in a court Georgia, and you hereby accept and submit to the personal jurisdiction of these courts with respect to any legal actions, suits or proceedings arising out of these Terms and Conditions. You also waive to the fullest extent permitted by law any right to a trial by jury in any action, suit or proceeding brought to enforce, defend or interpret any right or remedies under, or arising in connection with or relating to, these Terms and Conditions.
